1. Acceptance of Terms

Welcome to Aetheris AI LLC ("Aetheris," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at https://aetherisai.online and our AI chatbot services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Aetheris AI LLC, a Wyoming limited liability company. You represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into these Terms.
• You are not barred from using the Service under applicable law.
• All information you provide is accurate, current, and complete.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Changes to Terms: We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date, and by email if we have your email address. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Service Description

2.1 What We Provide

Aetheris provides an AI-powered chatbot platform designed for real estate professionals. Our Service includes:

• AI Chatbot: A conversational AI bot that you embed on your real estate website to answer visitor questions, capture leads, and provide property information.
• Mortgage Calculator: A built-in tool that allows End-Users to estimate monthly mortgage payments.
• Lead Capture: Automatic capture and scoring of visitor contact information and property preferences.
• Client Dashboard: A web-based dashboard where you manage your chatbot, view conversations, and access leads.
• API Key Management: A secure system where you provide your own third-party AI API key (e.g., OpenAI) to power your chatbot.

2.2 How It Works

Our Service operates on a "Client Pays With Own Tokens" model:

• You provide your own third-party AI API key (e.g., an OpenAI API key).
• Your chatbot uses your API key to generate responses.
• You pay the AI provider directly for all token usage and associated costs.
• Aetheris charges only a platform subscription fee — we do not mark up AI usage costs.

2.3 What We Do Not Provide

We are not a licensed real estate broker, agent, mortgage lender, or financial advisor. Our Service is a software tool only. We do not:

• Provide real estate advice, appraisals, or valuations.
• Offer mortgage lending services or financial advice.
• Guarantee lead conversion or sales outcomes.
• Act as a real estate intermediary or brokerage.

The AI chatbot provides general informational responses only and should not be relied upon as professional real estate, legal, or financial advice.

3. User Accounts

3.1 Account Registration

To use the Service, you must create an account by providing:

• Your full name and email address.
• A secure password.
• Your business name (optional).
• Payment information (processed by Stripe).

You agree to:

• Provide accurate and complete information.
• Maintain and update your information to keep it accurate.
• Keep your password confidential and secure.
• Notify us immediately of any unauthorized use of your account.

3.2 Account Responsibilities

• One Account Per User: You may maintain only one active account unless we explicitly authorize otherwise.
• No Sharing: You may not share your account credentials with others or allow others to access your account.
• Security: You are responsible for all activities that occur under your account.
• API Key Security: You are solely responsible for securing your third-party API key and for all usage charges incurred through it.

3.3 Account Termination by You

You may close your account at any time by contacting us at asia@aetherisai.online. Upon closure:

• Your subscription will be cancelled immediately.
• Your data will be deleted in accordance with our Privacy Policy.
• You will not be entitled to a refund for any unused portion of your subscription, except as required by law.

3.4 Account Suspension/Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy (Section 8).
• Fail to pay subscription fees when due.
• Engage in fraudulent, abusive, or illegal activity.
• Pose a security risk to our Service or other users.

We will provide reasonable notice before termination, except in cases of severe violations where immediate action is necessary.

4. Payment & Billing

4.1 Subscription Plans

We offer the following subscription plans (all prices in USD):

• Payment Processor: All payments are processed by Stripe. By subscribing, you agree to Stripe's terms and privacy policy.
• Billing Cycle: Monthly subscriptions renew automatically on the same date each month.
• Currency: All prices are in United States Dollars (USD).
• Taxes: Prices do not include applicable taxes. You are responsible for all sales, use, VAT, and other taxes.

4.3 Setup Fee

The one-time setup fee covers initial chatbot configuration, branding, and deployment on your website. Setup fees are non-refundable.

4.4 AI Usage Costs

You are solely responsible for all costs associated with your third-party AI API key. This includes token usage fees charged by the AI provider (e.g., OpenAI). We do not mark up, monitor, or control these costs. You should:

• Monitor your usage dashboard regularly.
• Set usage limits with your AI provider if available.
• Rotate your API key periodically for security.

4.5 Late Payment

If a payment fails, we will attempt to process it again. If payment remains outstanding for more than 7 days, we may suspend your access to the Service until payment is received.

4.6 Refunds

• Monthly Subscriptions: We do not provide refunds for partial months. If you cancel mid-cycle, your access continues until the end of the current billing period.
• Free Trial: New accounts receive a 7-day free trial. No credit card is required for the trial.
• Disputes: If you believe a charge is incorrect, contact us at asia@aetherisai.online within 30 days.

4.7 Price Changes

We may change our prices at any time. We will provide at least 30 days' notice of any price increase for existing subscribers. Your continued use of the Service after the price change constitutes acceptance of the new price.

5. API Key Responsibilities

5.1 Your Key, Your Costs

As described in Section 2.2, you provide your own AI API key to power your chatbot. You acknowledge and agree that:

• You are the sole owner and controller of your API key.
• You are responsible for all usage charges billed by the API provider.
• Aetheris has no access to or control over your API provider account.
• Aetheris is not liable for any charges, rate limits, or service interruptions from the API provider.

5.2 API Key Security

• Your API key is stored encrypted in our database using AES-256 encryption.
• Your API key is accessible only to your account's chatbot instance.
• We never display your full API key in our interface after initial entry.
• You may remove or replace your API key at any time from your dashboard.

5.3 API Provider Terms

Your use of a third-party AI provider's services is governed by that provider's own terms of service and privacy policy. We are not a party to your agreement with the API provider. You are responsible for ensuring your use complies with their terms.

5.4 Abuse Prevention

We reserve the right to rate-limit or suspend chatbot instances that generate excessive or abusive API usage, regardless of who owns the API key.

6. Intellectual Property

6.1 Our IP

The Service, including all software, code, design, logos, and documentation, is owned by Aetheris AI LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit written permission.

6.2 Your Content

You retain all rights to the content you provide to the Service, including:

• Your property listings and descriptions.
• Your branding and customization choices.
• Your lead data and conversation transcripts.

By using the Service, you grant us a limited, non-exclusive license to use your content only to operate and improve the Service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe on the intellectual property rights of others.
• Distribute malware, viruses, or harmful code.
• Send spam, unsolicited messages, or harassing communications.
• Attempt to gain unauthorized access to our systems or other users' data.
• Interfere with or disrupt the Service or servers.
• Use the Service to discriminate against any person based on race, color, religion, sex, national origin, disability, familial status, sexual orientation, or any other protected characteristic.
• Impersonate any person or entity or misrepresent your affiliation.
• Scrape, data mine, or extract data from the Service without permission.
• Use the Service for any purpose that is unlawful, harmful, or fraudulent.

Violation of this policy may result in immediate termination of your account without refund.

8. Real Estate Disclaimers

8.1 Informational Purposes Only

All content provided by the Service, including chatbot responses, mortgage calculations, and property information, is for general informational purposes only. It does not constitute professional real estate, legal, financial, or investment advice.

8.2 Mortgage Calculator Disclaimer

The mortgage calculator provides estimates only. Actual mortgage rates, payments, and terms depend on many factors including credit score, down payment, property type, and lender requirements. Users should consult a licensed mortgage professional for accurate information.

8.3 AI Accuracy

AI-generated responses may contain errors, inaccuracies, or outdated information. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. You are responsible for reviewing and verifying all chatbot responses before relying on them.

8.4 Fair Housing Compliance

You are solely responsible for ensuring your use of the Service complies with the Fair Housing Act and all applicable state and local fair housing laws. See our Fair Housing Statement for details.

9. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF TITLE AND NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED
• THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AETHERIS AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES
• ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
• ANY DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT
• ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US. The Service would not be provided without these limitations.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aetheris AI LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any law or the rights of any third party.
• Any content you submit to the Service.
• Your use of a third-party API key.

This indemnification obligation survives the termination of these Terms and your use of the Service.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

12.2 Jurisdiction and Venue

Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. You consent to the personal jurisdiction of such courts.

12.3 Waiver of Jury Trial

YOU AND AETHERIS EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.

12.4 Limitation Period

Any claim arising from or relating to these Terms or the Service must be brought within one (1) year after the cause of action accrues, or such claim shall be permanently barred.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aetheris regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet failures.

13.6 Notices

We may provide notices to you by email to the address associated with your account or by posting on our website. You may provide notices to us at asia@aetherisai.online or by mail to our registered address.

13.7 Survival

Provisions that by their nature should survive termination of these Terms shall survive, including payment obligations, intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

13.8 Headings

Section headings are for convenience only and have no legal or contractual effect.
